Terms of Service & Master Subscription Agreement
Version: 2.4 • Effective Date: October 12, 2026 • Jurisdiction: Sri Lanka
1. Preamble & Scope of Agreement
These Terms of Service constitute a legally binding agreement between the Customer (the travel agency, consultancy, corporate subscriber, or individual user) and Omicron Technologies (Point Pedro, Jaffna, Sri Lanka). By accessing or deploying Omicron CoPilot, Omicron Flow, Omicron Direct, or engaging Omicron Engineering Labs, you signify acceptance of these terms.
2. The Human-In-The-Loop (HITL) Supervisory Principle
Crucial Regulatory Condition:
Omicron Technologies provides automated decision-support and data-transcription software. Sovereign government immigration departments, foreign embassies, and airlines require truthful, accurate disclosures. The Customer agrees that:
- Our software acts as an assistive copilot and autonomous draft-assembler.
- A licensed, authorized human travel agent employed by Customer must review and authorize official submissions before final filing.
- Omicron Technologies is not an immigration consultancy, law firm, or visa-issuing sovereign authority.
3. Service Level Agreement (SLA) & Uptime
Omicron Technologies guarantees a 99.9% monthly platform availability for all Growth and Enterprise Fleet accounts. Scheduled maintenance windows occur between 01:00 AM and 03:00 AM IST on Sundays and are announced at least 48 hours in advance.
4. Subscription Fees, Invoicing & Billing
Platform subscriptions are billed on a recurring monthly cycle in USD or LKR equivalent at the prevailing Central Bank of Sri Lanka exchange rate. Custom software consulting contracts executed by Omicron Engineering Labs are billed on milestone sign-offs as specified in individual Statements of Work (SOW).
5. Intellectual Property & Code Ownership
The Customer retains exclusive proprietary ownership of all client dossiers and applicant personal data. For bespoke consulting projects developed by Omicron Engineering Labs, 100% of custom application source code and deployment assets are assigned to Customer upon settlement of final invoices.
6. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of Sri Lanka. Any disputes arising under this agreement shall be submitted to confidential arbitration in Jaffna or Colombo under the Arbitration Act No. 11 of 1995.
